TERMS AND CONDITIONS

VAP Design & Build – Service Agreement Terms
Effective Date: 24-January-2026

1. Acceptance of Terms

By engaging VAP Design & Build’s services or using our website, you agree to these Terms and Conditions. If you do not agree, please do not use our services.

2. About VAP Design & Build

VAP Design & Build is a professional design and construction firm led by Ar. Nandita Awasthy and Ar. Nishant Choukiker, specializing in retail, corporate, and F&B projects.

3. Services Offered

Our services include but are not limited to:

  • Architectural design and planning
  • Interior design
  • Project management and governance
  • Construction and build services
  • Vendor coordination and procurement
  • Turnkey project delivery

4. Service Engagement

4.1 Proposals and Quotations:

  • All proposals are valid for [30/45] days unless otherwise stated
  • Quotations are estimates and may be subject to adjustment based on final scope

4.2 Contracts:

  • A formal contract/agreement will be executed before project commencement
  • Scope, timeline, deliverables, and payment terms will be clearly defined
  • Any changes to scope require written approval and may affect cost/timeline

5. Client Responsibilities

Clients agree to:

  • Provide accurate project information and requirements
  • Obtain necessary approvals, permits, and permissions
  • Grant timely access to project sites
  • Provide timely feedback and approvals
  • Make payments according to agreed schedule
  • Ensure compliance with local regulations and codes

6. Payment Terms

6.1 Standard Payment Structure:

  • Advance payment: Preagreed % upon contract signing
  • Milestone payments: As defined in project agreement
  • Final payment: Upon project completion and handover

6.2 Payment Conditions:

  • Payments are due within mentioned days of invoice date
  • Late payments may incur interest charges as notified per month
  • Work may be suspended for non-payment

7. Project Timeline

7.1 Timelines:

  • Project schedules are estimates based on available information
  • Delays caused by factors beyond our control (client delays, regulatory approvals, force majeure) may extend timelines
  • Timeline extensions will be communicated promptly

7.2 Force Majeure: We are not liable for delays due to circumstances beyond reasonable control including natural disasters, pandemics, government actions, or supply chain disruptions.

8. Intellectual Property

8.1 Design Rights:

  • All designs, drawings, and documentation created by VAP remain our intellectual property until full payment
  • Upon full payment, client receives license to use designs for the specific project
  • We retain the right to showcase completed projects in our portfolio

8.2 Third-Party Materials:

  • We respect third-party intellectual property rights
  • Client is responsible for providing properly licensed materials

9. Quality and Standards

We commit to:

  • Professional standards in accordance with industry best practices
  • Quality materials and workmanship
  • Compliance with applicable building codes and regulations
  • Disciplined project governance

10. Warranties and Limitations

10.1 Professional Services:

  • We warrant professional services performed with reasonable skill and care
  • Structural warranties as per applicable building codes

10.2 Third-Party Work:

  • Warranties for vendor-supplied materials/work are as per their respective terms
  • We facilitate warranty claims but are not directly liable for third-party defects

10.3 Limitation Period:

  • Defect claims must be reported within 12 months of project handover
  • Defects due to misuse, neglect, or unauthorized modifications are excluded

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the total project value
  • We are not liable for indirect, consequential, or incidental damages
  • We are not liable for delays caused by third parties or external factors

12. Changes and Variations

  • All change requests must be submitted in writing
  • We will provide cost and timeline impact assessment
  • Changes proceed only upon written approval
  • Additional costs will be invoiced separately

13. Termination

13.1 By Client:

  • Client may terminate with 30 days written notice
  • Client remains liable for work completed and committed costs
  • Termination fee may apply

13.2 By VAP:

  • We may terminate for non-payment or material breach
  • We will provide [15] days notice to cure breach

14. Confidentiality

Both parties agree to:

  • Maintain confidentiality of proprietary information
  • Use confidential information only for project purposes
  • Return or destroy confidential information upon request

15. Dispute Resolution

15.1 Negotiation: Disputes will first be addressed through good-faith negotiation

15.2 Mediation/Arbitration: If unresolved, disputes will be settled through mediation/arbitration in Bengaluru , India

15.3 Governing Law: These terms are governed by Indian law and courts of Bengaluru have exclusive jurisdiction

16. Website Use

16.1 Content:

  • Website content is for informational purposes only
  • We reserve the right to modify website content without notice
  • Unauthorized use of website content is prohibited

16.2 User Conduct: Users must not:

  • Use the website for unlawful purposes
  • Transmit harmful code or malware
  • Attempt unauthorized access

17. Photography and Marketing

We may photograph completed projects for marketing purposes. Client consent will be obtained before using project-specific images publicly.

18. Severability

If any provision is found unenforceable, remaining provisions remain in full effect.

19. Entire Agreement

These Terms, together with executed project agreements, constitute the entire agreement between parties.

20. Amendments

We reserve the right to update these Terms. Material changes will be communicated to active clients.
